Subject: Clarification on cross related transaction and notifying the - itinerary of Shareholders' Ordinary meeting, no. 1/2003 Attention: Managing Director, SET Re : Letter of SET, ref.no. BorJor 22/2546 dated January 21st, 2003. We refer to the above letter of SET requested Thip to follow the rules and regulation on cross related transaction. Thip had considered with thankful for the useful suggestions on cross-related transaction. Therefore, Thip had planned the agenda accordingly in Shareholders' ordinary meeting for the year 2003 to be held on Monday, April 28th, 2003, as detailed following: 1. Select Financial Advisor to show independent opinion and information memorandum of the said transaction to be the support information for the shareholders' ordinary meeting for the year 2003 by February 2003. 2. Submit the invitation for meeting to Audit Committee and Board of Directors by Wed. March 5, 2003. 3. Appoint the Financial Advisor by Fri. March 7, 2003. 4. Audit Committee and Board of Directors' meeting to be held on Wed. March 12, 2003. 5. Announce the shareholders' ordinary meeting on newspaper during Thu. April 3, 2003. Sat. April 5, 2003. 6. Closing registrar book for the right to vote in the meeting until the meeting finish, and on the same day, Financial Advisor issues the report and information memorandum by Tue.April 8, 2003. 7. Distribute the invitation letter for shareholders' ordinary meeting together with information memorandum on independent opinion from Financial Advisor by Fri. April 11, 2003. 8.
