(THIP) had held the Board of Directors' meeting, no.9/2003 on Wednesday, November 12th, 2003 at 10.30 am. at Meeting room M, Floor 36, Suntowers B. Bldg. 123 Viphavadee-rangsit Road, Lardyao, Jatujak, Bangkok 10900, there were essential minutes as following : 1. Approved minutes of Board of Directors' meeting, no. 8/2003 without any changes. 2. Notification of company's performance for the 3rd quarter, and unanimously approved the interim Financial Statements for 9 months ended September 30,2003. 3. Acknowledged the report from Audit Committee and passed the resolution for directors to follow the Audit Committee's suggestion. 4. Approved the tentative plan of purchasing the land plot next to the factory for 1-2 Rai, with budget not exceeding 7 Million Baht. The board further requested the person in charge to negotiate the price and inform the board in next meeting. 5. Notified subjects : 5.1 The approval of the postponement of Sunflower Co.,Ltd.'s Promisory Note which was due on October 26, 2003 for another 180 days, with interest rate 10% per annum. 5.2 The appointment of Ms.Narissai Mahathitirat as General Manager. 6.
