SUBLEASE PREMISE AGREEMENT

Ref.THIP-SET 153/2008 November 21, 2008 Subject : Approved the Business Transaction to sublease premise and Services as storehouse ( A Supporting ordinary and normal business transaction) Attention : President The Stock Exchange of Thailand According to Thantawan Industry Public Company Limited had held Board of Directors' Meeting no. 8/2008 on Friday 21th of November 2008, the Board of Directors approved the business transaction to sublease premise and services as storehouse, the details are as follows:- -Date of Transaction : 1st December 2008 - 30th November 2010 -Related Party : Suntowers Company Limited, a less or for premise and services, whereas Suntowers Enterprise Company Limited is Major shareholders jointly have management team with Thantawan Industry Company Limited namely are 1. Mr.Phietoon Trivijitkasem as the Thantawan Industry Company Limited ' s Chairman also takes a title of Director of Suntowers Company Limited. 2. Mr.Huang Kuan-Chiun as the Thantawan Industry Company Limited ' s Deputy Chairman and Managing Director also takes a title of Director of Suntowers Company Limited. 3. Mrs.Pojanard Prinyapatpakorn as the Thantawan Industry Company Limited ' s Director takes a title of Director and Managing Director of Suntowers Company Limited. 4. Mr.Kraingsak Kajohnnamsong as the Thantawan Industry Company Limited ' s Director takes a title of Director of Suntowers Company Limited. - Type : Making sublease premise agreement in asset and services as storehouse (12 Vibhavadi-Rangsit Rd.,Chomphon Chatuchak Bangkok )with related party. - Total Value : Two - years term for sublease premise agreement, total rental and service fee 2,274,800 Baht being consisted of monthly fee 200 baht per squared meter. - Remuneration Policy : Rental and Service rate quoted on market price and relatively to rental rate of neighbor. - Director of connected transaction : They do not attend the meeting and have no vote right. (Mr.Phietoon Trivijitkasem, Mr.Huang Kuan-Chiun, Mrs.Pojanard Prinyapatpakorn,Mr.Kraingsak Kajohnnamsong) - Suggestion from Board of Directors and Audit Committee : Approved the related transaction to sublease premise and services as storehouse at the total amount of 2,274,800 Baht (two million, two hundred and seventy-four thousand and eight hundred Baht) since being a common business dealing with reasonable and fair price.
