NOTIFIES RESULT OF SHAREHOLDERS' MEETING

Thantawan Industry Plc. (THIP) said it has on April 24, 1997 held the general shareholders' meeting no. 1/1997, and was resolved as below: 1. To adopt minutes of the general shareholders' meeting no. 1/1996 held on April 24, 1996 2. To approve a report on company's operating performance as of 1996 3. To approve the balance sheets and profit/loss statements for the fiscal year ending December 31, 1996 4. To appropriate an amount of Bt373,598.29 from the profit as a legal reserve, and to pay dividend of Bt1 a share, Bt8 million totally, on May 23, 1997 for the fiscal year ending December 31, 1996 to shareholders whose name appear in the share registration book as at noon on April 4, 1997 5. To reappoint 4 directors who retired on rotation basis, namely Mr. Nam Mahathitirat, Mr. Pasit Assamongkol, Mr. Chanin Saensuk, and Mr. Chakrapong Kongtaweeskullert, as directors of the company for another term 6. To appoint Mr. Niran Leelamethwat, certified auditor holding license no. 2316, or Mr. Supoj Singsaneh, certified auditor with license no. 2826, of Peat Marwick Suthee Co., Ltd., as the company's auditor for 1997, and to fix the auditing fee at Bt450,000
