(THIP) had hold a general shareholders' meeting, no.1/2543 on Monday, April 24, 2000 at 10.45 a.m. at Thantawan B1 Room, 11th floor of Suntowers B Bldg., 123 Viphavadee-rangsit Road, Lardyao, Jatujak, Bangkok, the meeting had summary minutes as followings: 1.Approved the general shareholders' minutes of meeting, no. 1/2542 which held on April 23, 1999. 2.Approved business performance results for the year ended 1999. 3.Approved balance sheet and profit and loss statement of THIP for the year ended December 31, 1999 which passed auditing from CPA. 4.Approved the appropriation of profit as dividend for the accounting period of January 1 to December 31, 1999 at the rate of 1 (One) Baht per share having total amount Baht 8 million (Eight Million Baht), and the dividend shall be paid on May 23, 2000. 5.Approved election of directors to replace 4 directors whose terms were expired. Among the new elected directors who still hold the same positions are: 1. Mr. Nam Mahathitirat Chairman 2. Mr. Pichai Tangvithetjit Director 6.Approved appointment of two additional directors which now the total directors of the company made of 12 directors: 1. Mr. Dusit Sa-ngiamsak 2. Mr. Sombat Kittipokiratana 7.Approved the authorized signatures of directors who shall be binding the company was any 2 of following 5 directors who co-sign together and affix the company seal: 1. Mr.Nam Mahathitirat 2. Mr.Huang Kuan Chiun 3. Mr.Pichai Tangvitetchit 4. Mr.Phietoon Trivijitkasem 5. Mr.Viroon Paolinjong 8.Approved the appointment of Mr. Pichai Dutchanapirom, CPA no.2421 of Thammanithi Auditing Co.,Ltd. as the company's certified public accountant for the year 2000 and fixed the remuneration for auditing financial statements for the year ended December 31, 2000 for the amount not over Baht 189,000.- (One Hundred Eighty Nine Thousand Baht).
