Considered Fringe Benefit for Board of Director year 2005

THIP-SET 012/2005 March 10th, 2005. Subject: Summary Report of Board of Directors'Meeting,no.2/2005 Attention: Managing Director,SET Regarding to Thantawan Industry Public Co.,Ltd. (THIP) had held the Board of Directors' meeting, no.2/2005 at 10.00 a.m. on Thursday March 10th, 2005 at room M, Floor 36, Suntowers B. Bldg. 123 Viphavadee-rangsit Road, Chomphon, Jatujak, Bangkok 10900, there were essential minutes as following : 1. Approved minutes of Board of Directors' meeting, no. 1/2005. Board of Director unanimously resolved to approve minutes of Board of Directors' meeting no. 1/2005 2. Resignation of Director Acknowledged the resignation of Mr. Pasit Assamongkol from director which effect on February 28th, 2005 and approved to acquire a qualified person to deserve this position, this will be proposed as an agenda to the ordinary shareholder's meeting for consideration. 3. Corrected and approved the information to be released in 56-1 form and Annual Report for the year 2004. 4. Considered Fringe Benefit for Board of Director year 2005 Board of Director considered the fringe benefit for salary and monthly fringe benefit to 11 persons of Board of Director for year 2005 at the total amount 9,520,000 baht (nine million, five hundred and twenty thousand baht), this will be proposed as an agenda to ordinary shareholder's meeting for consideration and approval. 5. Other matter 5.1. Acknowledged an updated report of purchasing a piece of land, a proximity of company's factory, which is in process to be concluded. 5.2. Board of Director unanimously resolved the appointment of Mr. Kriangsak Kajornnamsong as an executive director effective on March 10th, 2005. Please be informed accordingly.
