Clarification on increasing proportion of Major Shareholder

Attention : The President The Stock Exchange of Thailand Reference is made to the Report on Acquisition or Disposition of Securities of the Company (Form 246-2) dated 9 November 2006 filed by Sunflower Company Limited ("Sunflower") to the SEC reporting the acquisition by it of 800,000 shares, totaling 10 per cent of the issued and outstanding shares of Thantawan Industry Public Company Limited (the "Company") resulting in an increase of its shareholding in the Company from 46.39 per cent to 56.39 per cent of the total issued and outstanding shares of the Company. The Company wishes to clarify that such an acquisition by Sunflower was simply a result of a return of the shares which Sunflower pledged with its lender since the year 2002 as a security under the loan agreement. In this regard, Sunflower did not make additional investment, nor enter into any sale and purchase transaction in order to acquire such shares. To this end, Sunflower is currently seeking a waiver from making a tender offer for all securities of the Company from the SEC pursuant to the SEC Notification No. GorJor. 53/2545 Re: Rules, Conditions and Procedures for the Acquisition of Securities for Business Takeover.
