Subject: Summary Report of Board of Directors' Meeting, no.5/2002

As Thantawan Industry Public Co.,Ltd. (THIP) had held the Board of
Directors' meeting, no.5/2002 on Friday, August 9th, 2002 at 10.50 a.m. at
Meeting room M, Floor 36, Suntowers B. Bldg. 123 Viphavadee-rangsit Road,
Lardyao, Jatujak, Bangkok 10900, there were essential minutes as follow :
1. Approved minutes of Board of Directors' meeting, no. 4/2002 held on May
14th, 2002. without any changing.
2. Acknowledgement of company's performance for the 2nd quarter, and
unanimously verified Financial Statements for 3 months and 6 months ended
June 30, 2002.
3. Acknowledged the report from Audit Committees and passed the resolution
for directors to follow the Audit Committee's suggestion.
4. Other matters
4.1 Loan to Parent Company
The resolution to report the said transaction to SET according to
Auditor and Audit Committee's suggestion.
4.2 Deposit for machine purchasing
The Board of Directors requested directors to follow up the repayment
closely.
